Abstract: | A recurring theme in Nigerian company law is that of directors as contemners of the vulnerable artificial corporate person and their abuse of their management powers for personal gains. Consequently, the Nigerian Law Reform Commission and the Consultative Assembly on the Reform of Company Law drafted provisions in the Companies and Allied Matters Decree, 1990 that might settle many controversies surrounding directors. The present author considers the provisions of the decree with respect to the grant of the power of management, the status of directors, their appointment, removal, proceedings and duties (fiduciary duty, duty of care and skill).
