|The bulk of the rights of shareholders stem from the contract with the company contained in the memorandum and articles of association. These are supplemented by statutory and common law rights. The author catalogues the key aspects of the relationship between a shareholder and a company in Zimbabwe. He looks in turn at the law which is applicable, the legal definition of a share, who is a shareholder, the nature of the contract between a shareholder and a company and the rights flowing therefrom, the rights determined by the interplay between contract and statutory and common law, and the statutory protection of shareholders.
