Abstract:Tanzania's Companies Ordinance seems to have been caught unawares by the emerging and development of the public limited liability companies, particularly on the modern issues relating to their governance. This paper highlights the weaknesses and effectiveness of the Companies Ordinance in that regard, as well as the effectiveness of the 2002 Companies Act and the Dar es Salaam Stock Exchange Listing Rules in regulating such Public Limited Liability Companies in Tanzania so as to ensure that they are managed according to proper modern attributes of corporate governance, at the same time ensuring that the interests of companies, shareholders and other stakeholders are effectively met.
